1. Scope

These terms apply to all business transactions between Chuangyu (Dongguan Junwei Electronics Co., Ltd.) and companies acting as traders (B2B). Consumer purchases are not offered through this website.

2. Quotations and orders

Quotations are valid for 30 days unless stated otherwise and are based on the specifications, quantities and Incoterm named in them. A contract is formed only on our written order confirmation.

3. Samples, tooling and intellectual property

Sample costs are credited against the first production order where agreed in writing. Tooling and moulds produced for a customer remain the customer’s property and are used exclusively for that customer. Customer designs, drawings and trademarks remain the customer’s intellectual property; we grant no rights to third parties.

4. Prices and payment

Prices are quoted FOB Shenzhen, EXW or CIF as stated. Unless agreed otherwise, payment is 30% deposit with 70% against copy bill of lading by T/T. Late payment accrues statutory interest.

5. Delivery and force majeure

Lead times run from order confirmation and receipt of deposit, and are indicative. We are not liable for delays caused by events beyond our reasonable control, including raw-material shortages, transport disruption, official measures or force majeure; we will inform you without delay and propose a revised date.

6. Inspection and warranty

Production is 100% functionally tested and inspected to AQL 2.5. We warrant that goods conform to the agreed specification for 12 months from delivery, excluding wear parts, misuse and unauthorised modification. Claims must be reported in writing with photo evidence within 14 days of discovery.

7. Limitation of liability

Our liability for slight negligence is limited to the value of the affected delivery. We are not liable for indirect damages, loss of profit or consequential damage, except in cases of intent, gross negligence, injury to life, body or health, or mandatory statutory liability. Nothing here limits mandatory consumer rights; this offering is B2B only.

8. Governing law and jurisdiction

These terms are governed by the laws of the People’s Republic of China. Disputes are finally settled by arbitration at the South China International Economic and Trade Arbitration Commission (SCIA) in Shenzhen, in English. The United Nations Convention on Contracts for the International Sale of Goods (CISG) applies in addition.
